1. About these terms
1.1 These terms govern your use of ThreadID, a software platform for creating and managing Digital Product Passports (the Service). The Service is provided by THREAD ID LTD, a company registered in England and Wales under number 17032928, whose registered office is at 66, Talbot Skyline 204-226 Imperial Drive, Harrow, United Kingdom, HA2 7HA (ThreadID, we, us).
1.2 Business use only. The Service is for businesses, not consumers. By accepting these terms you confirm you are acting for a business, trade or profession, and that you have authority to bind that business (the Customer, you).
1.3 You accept these terms by ticking the acceptance box, signing an order form, or using the Service — whichever happens first. If you don’t agree, don’t use the Service.
1.4 If an order form you’ve signed with us conflicts with these terms, the order form wins on that point.
2. Definitions
- Customer Data — any data, files, product information, images or content you or your users upload to or create in the Service.
- Passport — a Digital Product Passport, QR code, data carrier or public product page generated through the Service.
- Subscription — the plan, tier and term you’ve signed up for.
- Users — the people you authorise to access your account.
- Fees — the charges for your Subscription as shown at checkout or in your order form.
3. The Service and your account
3.1 We grant you a non-exclusive, non-transferable right to use the Service during your Subscription, for your internal business purposes only.
3.2 You are responsible for everything that happens under your account. Keep login details confidential, give access only to Users you trust, and tell us straight away at Harrison@thread-id.com if you suspect unauthorised access.
3.3 We may change, improve or remove features from time to time. If a change materially reduces the core functionality you pay for, we’ll give you reasonable notice and you may cancel without penalty.
3.4 Beta and free features are provided “as is”, may change or be withdrawn at any time, and are excluded from any support, availability or liability commitments in these terms.
4. Fees and payment
4.1 You’ll pay the Fees for your Subscription in advance, by the payment method on file. Fees exclude VAT and other taxes, which you’ll pay on top.
4.2 Subscriptions renew automatically for the same term unless you cancel before the renewal date.
4.3 Fees are non-refundable except where these terms expressly say otherwise or where the law requires it.
4.4 We may change our prices with at least 30 days’ notice. New prices apply from your next renewal.
4.5 If a payment is more than 14 days overdue, we may suspend your access until it’s paid, and charge interest under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Your responsibilities
5.1 You own and are responsible for your Customer Data, including that it is accurate, complete, lawful and up to date. Passports display what you put in; we don’t verify product claims, composition, origin, sustainability or compliance data.
5.2 You confirm you have all rights and consents needed to upload Customer Data and to let us process it to provide the Service.
5.3 You must not:
- use the Service for anything unlawful, misleading or fraudulent, including false environmental or product claims;
- upload malware, or try to break, probe, overload or reverse-engineer the Service;
- resell, sublicense or share access with third parties outside your business;
- use the Service to infringe anyone’s intellectual property or privacy rights.
5.4 We may suspend access, without liability, if we reasonably believe you’ve breached this section or your use poses a security or legal risk to us or others. We’ll tell you why where we lawfully can.
6. Regulatory disclaimer — not legal advice
6.1 The Service is a tool to help you manage product data. It is not legal, regulatory or compliance advice, and using it does not by itself make you compliant with the EU Ecodesign for Sustainable Products Regulation (ESPR), its delegated acts, UK law or any other rule.
6.2 DPP rules for textiles and other products are still being drafted and may change. Any templates, data fields, guidance or compliance indicators in the Service reflect our reasonable understanding at the time and may be incomplete, out of date or wrong.
6.3 You remain solely responsible for deciding what your legal obligations are and for meeting them. Take your own professional advice where needed.
7. Availability, support and maintenance
7.1 We’ll use reasonable efforts to keep the Service available, but we don’t guarantee it will be uninterrupted, error-free or available at any particular time.
7.2 The Service may be unavailable because of planned maintenance (we’ll try to give notice and schedule it outside UK business hours), emergency fixes, failures of hosting, network or other third-party providers, or events in section 13.
7.3 Passports and QR codes depend on the Service, your account and your Subscription being active. We aren’t responsible for Passports becoming unreachable because of outages, your account being suspended or ended, or changes you make.
7.4 Support is provided by email at harrison@thread-id.com during UK business hours. Response times are targets, not guarantees, unless your order form says otherwise.
8. Data, backups and data loss
8.1 We take regular backups of the Service and apply reasonable technical and organisational security measures. But no system is completely secure or failure-proof, and we don’t guarantee that Customer Data will never be lost, corrupted, delayed or exposed.
8.2 You must keep your own copies of all Customer Data that matters to your business, including your original product records. The Service is not a substitute for your own records or backup system. You can export your data at any time on request.
8.3 If Customer Data is lost or corrupted through our fault, your only remedy is for us to use reasonable efforts to restore it from our most recent available backup. This doesn’t affect section 10.1.
8.4 We aren’t responsible for loss or damage caused by data you’ve entered incorrectly, deleted, or overwritten, or by your Users, systems, integrations or third-party tools.
8.5 Our Privacy Policy explains how we handle personal data as a controller.
9. No other warranties
9.1 Except as expressly set out in these terms, the Service is provided “as is” and “as available”. To the fullest extent the law allows, we exclude all implied warranties, conditions and terms, including those of satisfactory quality, fitness for a particular purpose and non-infringement.
10. Limitation of liability
10.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded.
10.2 Subject to 10.1, we won’t be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any:
- loss of profits, revenue, sales or business;
- loss of anticipated savings or business opportunity;
- loss of goodwill or damage to reputation;
- loss, corruption or unavailability of data (other than our obligation in 8.3);
- fines, penalties or enforcement action taken against you by any regulator, including for non-compliance with DPP or product rules;
- costs of product recalls, relabelling, or re-issuing Passports or data carriers;
- business interruption, or loss caused by downtime, crashes, bugs or security incidents;
- indirect, special or consequential loss of any kind.
10.3 Subject to 10.1, our total liability arising out of or in connection with these terms and the Service, in any 12-month period, is limited to the Fees you actually paid us in the 12 months before the event giving rise to the claim. For free or trial use, our total liability is limited to £100.
10.4 You agree these limits are reasonable given the Fees and the nature of the Service, and that you’ve had the chance to take advice on them.
11. Your indemnity
11.1 You’ll indemnify us against all losses, claims, fines, damages, costs and reasonable legal fees arising from: (a) your Customer Data, including any claim that it is inaccurate, misleading or infringes someone’s rights; (b) your breach of these terms or of any law; and (c) Passports or product claims you publish using the Service.
12. Intellectual property
12.1 We (and our licensors) own all rights in the Service, its software, design, branding and documentation. Nothing in these terms transfers them to you.
12.2 You keep all rights in your Customer Data. You grant us a worldwide, royalty-free licence to host, copy, process and display it to the extent needed to provide, secure and improve the Service — including publicly displaying Passport content you choose to publish.
12.3 We may use anonymised, aggregated data that doesn’t identify you or any individual to analyse and improve the Service.
12.4 If you send us feedback or suggestions, we may use them freely without owing you anything.
13. Events outside our control
We aren’t liable for any delay or failure caused by events beyond our reasonable control — including failures of hosting, cloud or internet providers, cyberattacks, power failures, strikes, pandemics, war, government action or natural disasters.
14. Term, cancellation and termination
14.1 These terms apply for as long as you use the Service. You can cancel at any time from your account settings or by emailing Harrison@thread-id.com; cancellation takes effect at the end of your current paid term.
14.2 Either of us may end these terms immediately by notice if the other materially breaches them and doesn’t fix the breach within 14 days of being asked to, or becomes insolvent.
14.3 We may end your Subscription for any reason on 30 days’ notice, refunding any prepaid Fees for the unused period.
14.4 When your Subscription ends, your access stops and published Passports may stop resolving. You’ll have 30 days to export your Customer Data. After that we may delete it permanently, except where we must keep it by law.
14.5 Sections 6, 8.4, 9–13, 14.4 and 15 survive termination.
15. General
15.1 Changes to these terms. We may update these terms. We’ll give you at least 30 days’ notice of material changes by email or in-app. If you keep using the Service after they take effect, you accept them; if you don’t, you can cancel before they do.
15.2 Assignment. You may not transfer your rights under these terms without our consent. We may transfer ours as part of a sale, merger or reorganisation of our business.
15.3 Entire agreement. These terms (with any order form and the Privacy Policy) are the whole agreement between us on this subject. Neither of us has relied on any statement not set out in them.
15.4 Severability. If any part of these terms is found unenforceable, the rest still applies, and the unenforceable part applies to the maximum extent allowed.
15.5 No waiver. Not enforcing a right straight away doesn’t mean we’ve given it up.
15.6 Third parties. No one other than you and us has rights under these terms under the Contracts (Rights of Third Parties) Act 1999.
15.7 Notices to us go to Harrison@thread-id.com; notices to you go to the email address on your account.
15.8 Governing law. These terms and any dispute arising from them (including non-contractual disputes) are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
